Terms of Service

1. Agreement and service scope

By creating an account, purchasing a subscription, or otherwise using Toodily, you agree to these terms and our Privacy Policy. If you do not agree, do not use the service.

Toodily provides tools for managing personal tasks, projects, shared work, files, reminders, planning views, and optional AI-assisted features. Features may differ by platform, plan, region, or release stage.

2. Eligibility and authority

You must be legally able to enter into this agreement and must meet the minimum age required in your country. Before publishing, replace this sentence with Toodily’s confirmed minimum-age rule and any parental-consent requirements.

If you use Toodily for a company or another organization, you confirm that you have authority to accept these terms for that organization.

3. Accounts and account security

You must provide accurate account information and keep it current. You are responsible for activity performed through your account and for protecting your credentials and authenticated devices.

Notify us promptly at [email protected] if you believe your account has been compromised. We may request reasonable verification before restoring access or releasing account information.

4. Free and paid plans

Toodily may offer free functionality, paid subscriptions, usage credits, and optional add-ons. Current features, limits, and prices are shown before purchase and may also appear on our pricing page.

Unless stated otherwise at checkout, subscriptions renew automatically for the selected billing period until cancelled. You authorize Toodily and its payment providers to charge the applicable subscription price and taxes to your chosen payment method.

You can cancel a subscription through the billing controls provided by the platform where you purchased it. Cancellation stops future renewal and normally takes effect at the end of the paid period. Refund rights depend on applicable law and the purchasing platform’s rules.

5. Workspaces, projects, and collaboration

Project owners and administrators control membership and access within shared projects or workspaces. People you invite may be able to view, add, edit, export, or delete content according to their permissions.

If you join a workspace controlled by an organization, that organization may manage your access and the content stored there. You are responsible for understanding the organization’s policies and the permissions granted to other members.

6. Your content

You retain ownership of tasks, project information, notes, comments, attachments, prompts, and other content you submit to Toodily.

You grant Toodily a limited, worldwide, non-exclusive licence to host, copy, transmit, process, display, and otherwise use your content only as needed to operate, secure, support, and improve the service, follow your instructions, and meet legal obligations.

You confirm that you have the rights required to submit your content and to share it with any collaborators you invite. You are responsible for your content and for maintaining any additional copies you require.

7. AI-assisted features

Some features may send relevant prompts and workspace context to third-party artificial intelligence providers to generate summaries, analysis, or proposed plans. The Privacy Policy should identify the applicable categories of providers and processing.

AI output may be incomplete, inaccurate, or unsuitable for your circumstances. Review output before relying on it. Toodily presents proposed workspace changes for approval where the product supports that workflow, but you remain responsible for approved changes and other uses of generated output.

Do not submit information to an AI feature unless you have the right to process and disclose it in that way.

8. Acceptable use

Do not use Toodily to break the law, violate another person’s rights, harass or deceive others, distribute malware, gain unauthorized access, interfere with security or service operation, scrape the service at unreasonable volume, or help another person do any of those things.

Do not reverse engineer or bypass technical restrictions except where applicable law expressly permits it. We may investigate misuse and restrict or suspend access when reasonably necessary to protect users, Toodily, or third parties.

9. Toodily software and intellectual property

Toodily and its licensors own the service, software, branding, interface, and related materials, excluding your content. Subject to these terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the service for personal or internal business purposes.

If you provide product feedback, you allow us to use it without restriction or payment, but you do not transfer ownership of your separate content.

10. Third-party services

Toodily may rely on app stores, payment processors, hosting providers, authentication services, AI providers, and integrations. Their own terms and privacy practices may apply when you choose to use them.

We are not responsible for third-party products or for content you direct Toodily to transfer to a third-party service, except to the extent required by law.

11. Changes, suspension, and termination

We may update or discontinue features as the product evolves. When practical, we will provide reasonable notice of changes that materially reduce paid functionality or materially affect your rights.

You may stop using Toodily and request account deletion through available account controls or by contacting us. We may suspend or terminate access for a serious or repeated breach of these terms, legal requirements, security risk, non-payment, or harm to the service or others.

After termination, access rights end. Provisions that by their nature should continue—including ownership, payment obligations, disclaimers, liability limits, and dispute terms—remain effective.

12. Disclaimers

To the extent permitted by law, Toodily is provided on an “as available” basis. We do not promise that the service will always be uninterrupted, error-free, or suitable for every purpose.

Nothing in these terms excludes warranties or consumer rights that cannot lawfully be excluded.

13. Liability

Before publishing, legal counsel must add liability limitations appropriate to Toodily’s operating entity, customer locations, subscription model, and governing law. Do not adopt another company’s liability cap or exclusions without jurisdiction-specific review.

14. Governing law and disputes

Before publishing, replace this paragraph with Toodily’s confirmed contracting entity, registered address, governing law, courts or arbitration process, consumer exceptions, and any required dispute notices.

15. Changes to these terms

We may revise these terms. The effective date and permanent version link identify the terms that apply. If a change materially affects your rights, we will provide notice or request acceptance when required by law.

16. Contact

Questions about these terms can be sent to [email protected]. Before publishing, add the legal name and postal address of the Toodily contracting entity.
